Proxy Values
a. Voting Philosophy
The chintailease smart contract will proxy to account chintaiproxy, and support block producers with the following criteria:
- Proven technical competency as a block producer.
- Adherence to the EOS Constitution.
- Usage of block rewards in a community focused value-add manner to the EOSIO ecosystem.
- Support development of DApps that promote mainstream EOSIO adoption.
- Transparency in block producer operations.
- Demonstration of financial and political independence.
b. Background
Chintai is a frictionless peer-to-peer EOS token leasing platform that leverages the revolutionary power of the EOS network. Chintai is the epitome of how communities can align incentives to enhance a decentralized ecosystem for the benefit of all. Developers can flexibly lease tokens based on their respective needs, while token holders can profit from lending network resources that would otherwise be left unused.
Chintai was developed by EOS42. The white paper was first published in late winter of 2018 by David Packham of EOS42. Ongoing funding from BP sponsors provides the network resources that are necessary to run and maintain the Chintai platform.
Proxy Managers
a. Board of Managers
The Board of Managers is responsible for the selection of block producers included in the voting slate. The Board will consist of 5 individuals from the sponsoring BPs.
b. Sponsoring Block Producers
The initial sponsoring block producers are:

c. Manager Requirements
Managers must meet the following requirements to be eligible to serve:
- Are a holder of an EOSIO token.
- Have never been ruled against in arbitration related to matters of perjury, fraud, vote buying, or collusion.
- Attend all meetings or provide a notice ahead of time if you can not. Failure to attend 2 manager consecutive manager meetings in a row without proper notice will result in loss of the board seat.
Procedures
a. Startup Procedures
The initial sponsoring block producers will confirm and add 5 manager from the pool of nominated block producer manager candidates via approval voting (each BP will vote for 5 candidates). Each initial sponsoring block producer will nominate one member of their team. Sponsoring block producers may not vote for their own nominee. Being elected as a manager includes a minimum term of voting in three consecutive meetings. After three consecutive meetings, Managers will be reelected. Managers will be reelected with the same framework that establishes the first five Managers. Managers can be elected to multiple and consecutive terms.
The initial elected Managers will then schedule the first board meeting in order to select 5 block producers on a weekly basis, until 25 selections have been made. The managers will coordinate a announcement of the competition to apply for the last 5 slots on the proxy. On January 4th, the Board of Managers will select the remaining 5 block producers from the list of applicants.
During the first meeting of the Board of Managers, the Board shall appoint one Member of the EOS blockchain to serve as the manager of the designated Chintai Proxy EOS account. The manager will be responsible for changing and refreshing the account voting slate. The proxy should be refreshed and updated no later than 3 days after a meeting of the Board of Managers. In the event of a refusal to make changes requested by a vote of the Board of Managers or refusal to vacate the position of proxy manager, a representative from Chintai will register a new proxy and direct the voting power of chintailease to the new proxy account. A new proxy manager will be selected at the next meeting of the Board of Managers.
b. Meetings of the Board of Managers
The Board of Governors will meet once a month to discuss, review, and change the block producers on the Chintai slate. Governors will be responsible for presenting any new information or initiatives they have learned of in their normal discourse as active community members, or information that was submitted to the Board of Governors through a form on the Chintai website.
A written summary of changes made to the proxy picks during each board meeting will be posted publicly within 48hours of changing the proxy picks.
A quorum will be defined as 3 Managers in attendance. If less than 3 Managers do not show up for a meeting, no further procedural actions may take place, but discussion may continue.
Voting to change the chintailease slate
A Manager may propose a change to the voting slate in the following ways, each requiring a different vote threshold to pass approval:
- Addition, removal, or swap of block producer votes requires a simple majority (3 yes votes).
- Appointment or removal of Proxy Manager (5 yes votes).
Amending this framework
This framework may be amended during any meeting of of the Chintai Board of Managers by approval of 5 Managers from a meeting of the full 5 Managers of the board.
Record-keeping
After each meeting of the Board of Managers, a written summary of the meeting will be posted to a designated Chintai social media account. If the block producer slate is changed, an explanation of the rational for each removal and addition to the voting slate. The Manager responsible for drafting the summary will rotate each meeting, with the remaining Managers approving the draft within 4 days of the meeting.
c. Anti-collusion Protections
The Chintai website will also feature a method for reporting evidence in the case of suspected collusion or influence selling. If the evidence presented against a Manager is verifiable, the remaining Managers will file an arbitration case against the offending Managers as claimants in the arbitration case. The offending Manager will immediately be suspended until the arbitration case is decided. In the event that a Manager(s) is suspended, the remaining Managers will have 7 days, or no less than 2 days before a scheduled Manager meeting, to select an interim (new) Manager.
Consequences of successful arbitration against a Manager
If the offending Manager is the member of a block producer, that Member and block producer will be in-eligible to be placed on the proxy voting slate for a period of 365 days. If the block producer is a sponsoring block producer, the block producer will immediately be removed as a sponsor by the remaining sponsoring block producers.
d. Intention to Include Penalties
A set of guidelines for block producer removal penalties should be developed by the Board of Managers no later than 120 days after the launch of the official Chintai proxy. For example, if a block producer includes a blacklisted account’s transaction into a block after an official order is received to blacklist the aforementioned account within x amount of hours, they will be removed and ineligible to be on the proxy for x amount of days.
e. Living Document
This framework for governing the Chintai Proxy is intended to be a living, working document, amended as the EOSIO ecosystem evolves and as practical enhancements are discovered.

국민 투표 (Referendum)
Chintai 투표 관리인들은 국민 투표를 선택할 것입니다. 초 대다수가 투표 결과를 결정합니다.
c. 담합/결탁 방지
Chintai 웹사이트에는 담합이 의심되거나 정상적이지 않은 영향력을 행사하는 관리자가 있는 경우 증거를 보고하는 방법이 있습니다. 이런 위반행위에 대한 증빙이 입증 될 경우, 나머지 관리자들은 중재자에게 해당 관리자에 대해 중재 판결을 청구합니다. 해당 관리자는 중재 케이스가 결정될 때까지 즉시 직위 정지됩니다. 직위 정지가 있는 경우, 나머지 관리자들은 7 일 안에 또는 예정된 총재 회의 2 일전까지 임시 관리자를 선출합니다.

流程
a. 初始阶段启动时的流程
最初的11名赞助支持Chintai的出块节点(sponsoring block producers), 将以批准投票制从提名的出块节点理事候选人中，选举产生五名理事(每个BP将投票给5名候选人)。每个出块节点赞助者将提名他们团队的一名成员。出块节点赞助者可能不会投票给他们自己提名的人选。
在连续三次会议中满足最低投票标准，才能够当选成为理事。在连续三次会议之后，会重新选举理事，会使用产生第一批五个理事的同样的方式。理事可以选举连任。
最初选出的理事将安排第一次董事会会议，选择代理投票中的前25个出块节点，并协商发布公告，开放最后5个席位供出块节点提交申请。1月4日，理事会将从申请人名单中选出剩余的5个出块节点。
在第一次理事会议上，理事会应任命EOS区块链的一名成员担任管理员，管理指定的Chintai代理账户，负责更改和刷新帐户投票名单。在理事会会议结束后的3天以内，需要更改和刷新投票。经理事会表决后拒绝进行变更或者拒绝让出代理管理员职务的情形下，将由Chintai的一名代表重新注册代理，并将chintailease智能合约的投票权转至新的代理账户。理事会下次会议将选出新的投票代理管理员。
b. 理事会会议
理事会将每月举行一次公开会议，讨论、审查和更改 Chintai投票列表上的出块节点。理事们将会展示作为社区活跃成员在日常讨论之中所了解到的信息或者新想法，以及通过Chintai网站所提交给理事会的信息。所有理事会会议将在进行直播，或在会议结束后48小时内将记录上传。
理事会议的法定人数定为3名理事。如果出席会议的理事少于三人，则不会采取进一步的行动，但可以继续进行讨论。
投票修改 chintailease的投票列表
理事可以下列方式建议更改投票名单，每一项均须以不同的投票门槛通过:
- 添加、删除或替换出块节点，投票需要简单多数(需要3票赞成)
- 委任或罢免代理管理员(需要5票赞成)
修改此治理框架
在 Chintai 理事会任何一次会议上，经理事会全体五名理事批准，可以对本框架进行修改。
记录的保存
每次理事会会议结束后，会议纪要将被发送到指定的Chintai社交媒体账号。如果出块节点的投票列表有所更改，则需要对每次移除和添加到投票列表的合理性进行解释。负责起草摘要的理事，每次会议都会轮换。其余的理事将在会议后4天内批准草案。
公投
Chintai 理事需要就公投进行选择。需要进行绝大多数赞同票，来进行投票。
c. 反腐败的保护
Chintai网站还将提供功能，可以就涉嫌共谋或影响正常决策(influence selling)的情况提交证据。如果针对某个监事所提出的证据是可以核实的，其余监事将作为仲裁案件的受理人，对涉嫌违规的监事提起仲裁。涉嫌的理事将被立即暂时停职，直至作出仲裁裁决。如理事被停职，其他理事将有7天时间，或不少于原定理事会议召开前2天的时间，选出一名临时(新)理事。
对理事成功仲裁的后果
如果违规的理事是出块节点成员，出块节点在之后的365天内，将失去被列入投票代理列表之中的资格。如果出块节点为向Chintai提供赞助的出块节点，其余赞助节点将会移除该赞助者。
d.包含惩罚措施的意图
在Chintai正式启动后的120天内，理事会需要制定一套针对出块节点进行移除处罚的指导方针。例如，如果在接到某账户列入黑名单的正式命令后的x个小时内，一个出块节点仍然处理该黑名单账号的交易，那么该节点将被删除，并且在x天内没有资格得到代理的投票。
e. 动态文档
这一Chintai代理的管理框架旨在成为一个动态的工作文档，随着EOSIO生态系统的发展和实际改进的发现而进行修改。
